Terms of Service

1. Acceptance of Terms
By creating an account or accessing Ticker & Tenure, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users including buyers, sellers, and visitors.
2. Platform Description
Ticker & Tenure is a marketplace and research platform for the trading of antique stock and bond certificates (scripophily). The platform facilitates transactions between dealers (brokers) and collectors. Ticker & Tenure is not a party to any transaction and does not authenticate, grade, or guarantee any certificate.
3. Seller Obligations
Sellers represent and warrant that: (a) they have legal title to all listed certificates; (b) all descriptions are accurate to the best of their knowledge; (c) any defects, damage, or known forgeries are disclosed; (d) they will ship sold items promptly and securely. Sellers who misrepresent items may be permanently suspended.
4. Buyer Obligations
Buyers agree to: (a) complete payment within the specified timeframe upon purchasing; (b) inspect certificates upon receipt and raise disputes within 72 hours of delivery; (c) not misuse the offer or bidding system to manipulate prices.
5. Platform Fees
Ticker & Tenure charges a platform fee of 3% of the final sale price on completed transactions. This fee is deducted from the seller's proceeds. Fees are subject to change with 30 days notice.
6. Authentication & Disputes
Ticker & Tenure does not authenticate certificates. Buyers who have concerns about authenticity may request professional third-party authentication. Dispute resolution procedures are handled through the platform's escrow system. In cases of confirmed forgery, the platform reserves the right to void a transaction and suspend the responsible seller.
7. Escrow
For transactions requiring authentication or physical delivery confirmation, funds may be held in escrow until the buyer confirms receipt or a 72-hour automatic release window expires. Escrow terms are disclosed at the time of purchase.
8. Prohibited Items
The following may not be listed: (a) known forgeries or reproductions presented as originals; (b) stolen items; (c) items subject to export restrictions under applicable law; (d) items whose sale would constitute securities fraud or market manipulation.
9. Limitation of Liability
Ticker & Tenure is not liable for the accuracy of any listing, the authenticity of any certificate, loss or damage during shipping, or any consequential damages arising from transactions between users. The platform's maximum liability for any claim is limited to the fees paid to Ticker & Tenure in the relevant transaction.
10. Account Termination
You may close your account at any time by contacting support@tickerandtenure.com. Accounts with active listings or pending transactions must resolve those before closure. Ticker & Tenure may suspend or terminate accounts that violate these terms without notice.
11. Governing Law
These terms are governed by the laws of the state of [TO BE DETERMINED WITH LEGAL COUNSEL], without regard to conflict of law provisions. Disputes will be resolved through binding arbitration under AAA rules.
12. Changes to Terms
Ticker & Tenure may update these terms at any time. Continued use of the platform after notice of changes constitutes acceptance.
